These Terms and Conditions ("Agreement") govern your use of the CRM service provided by [Intellagent CRM Technologies LLC.] ("Service Provider"). By accessing or using the CRM service, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you may not use the CRM service.

1. Service Description:
The CRM service provided by the Service Provider is a cloud-based customer relationship management platform designed to help businesses manage and analyze customer interactions and data.

2. User Responsibilities:
a. You are responsible for maintaining the confidentiality of your CRM account login credentials.
b. You agree to use the CRM service in compliance with all applicable laws and regulations.
c. You are solely responsible for the accuracy, quality, and legality of the data you input into the CRM system.

3. Intellectual Property:
a. The CRM service and all related intellectual property rights are owned by the Service Provider.
b. You are granted a limited, non-exclusive, non-transferable license to use the CRM service for your internal business purposes.

4. Data Privacy and Security:
a. The Service Provider will take reasonable measures to protect the security and privacy of your data.
b. The Service Provider will not disclose your data to any third parties without your consent, except as required by law.
c. You acknowledge that the CRM service may involve the transmission of your data over the internet, and the Service Provider cannot guarantee the security of such transmissions.

5. Limitation of Liability:
a. The Service Provider shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the CRM service.
b. The Service Provider's total liability for any claim arising out of or in connection with this Agreement shall not exceed the amount paid by you for the CRM service in the twelve months preceding the claim.

6. Termination:
a. Either party may terminate this Agreement at any time with written notice.
b. Upon termination, your access to the CRM service will be disabled, and you may lose access to your data.

7. Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of the United States. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in the United States.

8. Modifications:
The Service Provider reserves the right to modify or update this Agreement at any time. Any changes will be effective upon posting the updated Agreement on the CRM service website.

By using the CRM service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

- With Intellagent, you can be confident that your data is always safe and secure. All data associated with your CRM is under your ownership, and we only host the data for you. We are committed to providing the highest security standards available, so you can rest assured that your data is never shared with anyone outside your organization. If you ever decide to end your CRM, all your data will be easily exported to a CSV file and send to you.
